Terms of Service for Elevate and Ellie
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Elevate and Ellie services, including our website, AI platform, and any other services we provide (collectively, the "Services"). These Terms are a legal agreement between you ("you" or "user") and Elevate Collective LLC ("Elevate," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Elevate is a private, curated membership network of venture capitalists, family offices, accredited investors, and senior executives focused on discovering and supporting high-quality startups. Ellie is Elevate's AI platform that acts as the intelligence layer for the network, organizing member expertise, analyzing startup and market data, and matching members with relevant opportunities.
Our Services are designed to facilitate deal flow, collaborative due diligence, strategic partnerships, and investment opportunities. We reserve the right to modify or discontinue the Services, or any feature or functionality thereof, at any time without notice.
3. User Accounts and Eligibility
To access and use our Services, you must be a member of Elevate and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
You are responsible for safeguarding your password and for any activities or actions under your account. We encourage you to use a "strong" password (a password that uses a combination of upper and lower case letters, numbers, and symbols) with your account. You agree to notify us immediately of any unauthorized use of your account.
Our Services are intended for users who are at least 18 years old. By using our Services, you represent and warrant that you are 18 years of age or older.
4. User Conduct
You agree to use the Services in a manner consistent with all applicable laws and regulations. You will not use the Services to infringe upon the rights of others, including their intellectual property and privacy rights. You are prohibited from transmitting any content that is unlawful, harmful, or otherwise objectionable. This includes, but is not limited to, unsolicited advertising, software viruses, or any other code designed to disrupt the functionality of any computer software or hardware. Our Services and their entire contents, features, and functionality are owned by Elevate, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as it is created and owned by you.
7. Confidentiality
As a member of Elevate, you will have access to confidential information, including but not limited to information about startups, investment opportunities, and other members ("Confidential Information"). You agree to hold all Confidential Information in strict confidence and not to disclose it to any third party without the prior written consent of Elevate and the disclosing party. You agree to use the Confidential Information solely for the purpose of participating in the Elevate network and not for any other purpose.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Elevate makes no warranty that the Services will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that the information or content obtained through the Services will be accurate, reliable, or complete.
Elevate does not endorse, and is not responsible for, the accuracy or reliability of any opinion, advice, or statement made on the Services. Any investment decisions you make based on information you receive through the Services are at your sole discretion and risk.
9. Limitation of Liability
In no event shall Elevate, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
10. Indemnification
You agree to defend, indemnify, and hold harmless Elevate, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in Los Angeles, CA.
12. Termination
We may terminate or suspend your access to our Services, in our sole discretion, at any time and without notice to you. Upon any termination, discontinuation, or cancellation of Services or your account, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.
13. General Information
These Terms constitute the entire agreement between you and Elevate regarding the use of the Services. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
